Terms of Use

1. Agreement to these terms

By accessing or using Ninelayer (“the Service”) you agree to be bound by these Terms of Use. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is greater, to use the Service.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@ninelayer.in if you believe your account has been compromised.

4. Free trial

New accounts receive a 7-day free trial of Ninelayer Pro. The trial converts to a free subscription automatically unless you take Pro subscription before it expires. One trial per account.

5. Payments and billing

Fees are charged in US Dollars and Indian INR and are generally non-refundable except as required by applicable law. Subscriptions renew automatically on a monthly basis. Payments are processed by RazorPay. You must cancel before the renewal date to avoid being charged for the next period. Delinquent accounts may be suspended.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose.
• Attempt to reverse-engineer, scrape, or extract the underlying data or infrastructure.
• Circumvent rate limits, access controls, or authentication mechanisms.
• Transmit malware, spam, or other harmful content through the Service.
• Resell or redistribute access to the Service without written permission.
• Use the Service in a way that infringes the intellectual property rights of others.

7. Intellectual property

All technology, designs, and content comprising the Service are owned by or licensed to Ninelayer. You receive a limited, non-exclusive, non-transferable right to access the Service for your own use. Nothing in these Terms transfers ownership of any Ninelayer intellectual property to you.

8. Your content

You retain ownership of any documents, notes, or other content you upload to Ninelayer Projects. By uploading content you grant us a limited license to store, index, and retrieve that content solely to provide you with the Service. We do not use your content to train AI models or share it with third parties except as described in our Privacy Policy.

9. Privacy

Our Privacy Policy is incorporated into these Terms by reference and governs how we handle your personal data.

10. Termination

Either party may terminate the account at any time. Upon termination, access to the Service ceases and your data will be deleted within 30 days. Outstanding fees remain due after termination.

11. Disclaimers

The Service is provided “as is” without warranties of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and uninterrupted or error-free operation.

12. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the greater of the fees you paid in the 12 months preceding the claim or $100. We are not liable for indirect, incidental, consequential, or punitive damages.

13. Indemnification

You agree to indemnify and hold Ninelayer harmless from any third-party claims arising from your use of the Service, your content, or your violation of these Terms.

14. Dispute resolution

Disputes will be resolved through binding arbitration. Both parties waive the right to a jury trial and to participate in class actions. Exceptions apply for small claims court and requests for injunctive relief.

15. Governing law

These Terms are governed by the laws of Delaware, United States, without regard to conflict-of-law principles.

16. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice in the product. Continued use after the effective date constitutes acceptance.
